Rite Aid argues that the Purchase Agreement signed on Fébruary 25, 2010, was a novation and substituted contract, replacing the Lease Agreement under Kentucky contract law. When the Purchase Agreement was signed, all obligations under the prior Lease were replaced by the parties’ obligations under the Purchase Agreement. White/Reach answers that the Purchase Agreement was an executory accord., and therefore, not a novation of the original lease agreement.
