performance of the Shareholder's professional
          services hereunder. The Corporation shall pay
          all the reasonable costs associated with the
          Shareholder's practice of medicine; however each
          Shareholder shall pay 'overhead costs' in a
          manner consistent with the historical allocation
          of such costs of the Corporation which shall
          include such items as rents, electricity,
          telephone expenses, general liability insurance,
          and other expenses that may be attributed to a
          specific Shareholder."
