"(a) Each Shareholder shall be compensated for
               his services to the Corporation based on his 'net
               collections' after payment of all overhead costs
               and direct expenses as defined further in
               paragraph (b) below. 'Net Collections' shall
               mean all amounts collected by the Corporation
               related to services provided by the Shareholder.
