About June 3, 1948, plaintiff Findley sent a letter to the board of directors of Douglas stating “the substance of his discovery,” and in that letter he demanded that appropriate legal action be taken to recover on behalf of Douglas all the profits which the participants in the acts had acquired in violation of the rights of Douglas and its stockholders. About August 19,1948, plaintiff Findley was advised by letter from Douglas that its board of directors declined to take action in the matter.
