a company is completely absorbed into another through
     a sale of assets; continues its operations by
     maintaining the same management, personnel, assets,
     location and stockholders; but leaves its creditors
     without a remedy for its outstanding debt. The fact-
     finder may look to other factors indicative of
     commonality or distinctiveness with the corporations.
     The bottom-line question is whether each entity has
     run its own race, or whether there has been a relay-
     style passing of the baton from one to the other.
